Debbie Diehl is a partner in the firm, a member of the firm’s Corporate and Securities Section, Co-Chair of its Business Department and a member of its Executive Board.  She has over thirty years of experience in business transactions, including numerous mergers and acquisitions involving both public and private companies and debt and equity financings that range from venture capital to bank term loans and lines of credit, accounts receivable factoring, securitizations and tax-exempt financing.

She has worked with many industries, such as technology, life sciences, financial services, manufacturing and heavy industry, utilities, communications, healthcare, senior living, education and nonprofit.  Her experience also includes significant involvement in distressed company transactions.  Her clients have ranged from entrepreneurs to Fortune 500 companies, and her experience is on both the buy side and sell side, giving her the insight to predict the issues likely to be raised and to expertly negotiate them to a successful conclusion.

Debbie works closely with the tax partners at her firm and with her clients’ accountants and other advisors to ensure that tax issues are properly identified and evaluated so that the tax consequences of a transaction are minimized for her clients.  She similarly calls in other subject matter experts within her firm or works with other counsel with whom the client has a relationship to make sure that all issues are most efficiently and expertly handled by the right attorney (frequent examples include estate planning, ERISA/employee benefits, labor and employment law, government contracting, real estate, technology and intellectual property).

Debbie is peer review rated AV by Martindale Hubbell and is recognized by both Best Lawyers in America and Maryland Super Lawyers.  She has served in leadership positions with the Maryland State Bar Association and various nonprofits and currently serves on the boards of several charitable and civic organizations.

Profiles in Growth:
Closing the Personal Value Gap

For the best personal outcome, owners must identify and bridge the gap between corporate value when they first contemplate an exit and value when the actual transaction takes place—not to mention after the sale. The time to dig a well is before you get thirsty, but in the midst of transferring the company’s ownership, personal planning often gets delayed or lost—a dangerous omission. The panel will examine case studies and share the real-world experiences of business owners and their heirs in the post-sale years.
